Kendra focuses her practice on business and transactional law matters including entity choice and formation, contract drafting and review, mergers and acquisitions, capital raises and investments, corporate restructuring and reorganization strategy, due diligence for company purchases and sales, and general corporate compliance, reporting advice, and risk mitigation strategies. She also focuses on transactional labor and employment matters, including employment agreements, noncompetes and restrictive covenant agreements, and employee separation agreements, as well as residential and commercial real estate sales, purchases and leases.

While earning her Juris Doctor at Georgetown University Law Center, Kendra was a senior articles editor of the Georgetown Journal of Legal Ethics and a student attorney in the Social Enterprise and Nonprofit Law clinic. She also served as a law clerk on the U.S. Senate Committee on the Judiciary for Senator John Cornyn. Prior to joining Rapp & Krock, Kendra was an associate attorney in the Houston office of Willkie Farr & Gallagher LLP where she represented buyers and sellers in middle market and large private equity company mergers, acquisitions, stock issuances and asset sales, with a concentration in transactions in the energy and software sectors.

  • Conduct due diligence for numerous mergers and acquisitions, including a multimillion-dollar acquisition of an oil and gas exploration and production company.
  • Assist private equity firm in successful exercise of its joint venture tag-along rights in an asset acquisition.
  • Review, revise, and negotiate business contracts, including supplier agreements, marketing contracts, and confidentiality agreements, for an internationally based energy company.
  • Draft standard terms and conditions for a company website for incorporation into standard purchase orders.
  • Advise owners of companies on new member additions and capital investments.
  • Draft, review and negotiate restrictive covenant agreements, employment and independent contractor agreements, consultant agreements, and employee separation agreements for employers.
