Kieran concentrates his practice in business and real estate law including general corporate transactions, mergers and acquisitions, contract negotiations and disputes, employment and contractor law, securities and private placements, and intellectual property. He has experience representing businesses in all stages of the corporate lifecycle, from startups seeking seed capital to multi-million dollar international companies. Kieran’s experience includes

 

      • Business formation including structuring new entities and restructuring companies to meet changing environments & business needs
      • Negotiation of partnership agreements, buy-sell agreements, stock option and incentive programs, and new owner disputes
      • Real estate transactions including those of business, finance, and ownership
      • Drafting purchase & lease agreements, amendments, easements, an other real estate property agreements
      • Representing sellers and purchasers in negotiating, drafting, and closing all forms of asset and equity purchase transactions
      • Negotiation and documentation of contracts such as joint venture agreements, subcontractor agreements, master service agreements, and vendor/customer terms & conditions
      • Advising employers/employees in employment structures & contracts such as non-competes, confidentiality agreements of intellectual property, and policies & procedures
      • Securities & private placement disputes
      • Preparation and drafting of comprehensive protections of intellectual property rights

Prior to joining Rapp & Krock, PC, Kieran was an associate at Rapp Law Firm, PC in Houston, Texas. Prior to that, he was an associate in the law firm of Thomas H. Bergman & Associates, LLC in Cincinnati, Ohio.

Representative Matters

      • Represented an international oil services company in the acquisition and development of an approximately 60,000 sq. ft. manufacturing and production facility.
      • Represented an iconic local restaurant in corporate restructuring and the acquisition and leasing of real property for expansion.
      • Advised and represented a client in the acquisition, restructuring, and aggregation of multiple industrial manufacturing and service companies.
      • Represented a client in the corporate restructuring and sale of four related oilfield services companies, in a transaction valued in excess of $14 million at closing.
      • Advised and represented a client in the formation of a new business and the acquisition of multiple franchises.
      • Advised and represented a technical software company in its corporate restructuring, software license agreements, and service agreements, to consolidate and protect its intellectual property.
      • Represented a client in the acquisition and private lender financing of an island development, in a transaction valued in excess of $20 million at closing.
      • Advised and represented a minority shareholder in an “oppressed shareholder” dispute resulting in a negotiated buyout of his equity.
      • Advised and represented a client in several multi-million dollar private placements of corporate securities (exempt offerings) for investments in real estate, manufacturing interests, and manufacturing/distribution interests.
