Drew E. Smith

Drew focuses on helping small to mid-size companies navigate the myriad of issues they face.  A creative problem solver, he enjoys providing legal guidance for general business and commercial matters such as:

 

      • Advising businesses in contracting matters involving federal, state and local government agencies
      • Negotiation and documentation of contracts including prime and subcontractor agreements, master service agreements, statements of work, technology license agreements, and vendor/customer terms & conditions
      • Advising employers and employees in employment structures and contracts such as confidentiality agreements, non-competition and non-solicitation provisions, and related policies & procedures
      • Preparation and drafting of comprehensive protections of intellectual property rights
      • Representing sellers and purchasers in negotiating, drafting, and closing all forms of asset and equity purchase transactions
Having spent many years on the other side of the table, I know what businesses are looking for when they need a little help. My goal is to deliver reliable and efficient services as my clients’ principal outside in-house counsel.

Prior to joining Rapp & Krock, Drew was General Counsel and Chief Ethics Officer for Praeses, LLC, an innovative software and services provider for industry and government agencies. Before that he was an attorney at Blanchard, Walker, O’Quin & Roberts, one of the oldest law firms in the Ark-La-Tex, where he maintained a varied practice that included general business matters, oil and gas matters, real estate title examination, title insurance, and estate and succession matters. Prior to law school, Drew was the Director of Operational Support for the South Louisiana Region of Teach for America, and previously served as a member of former Congressman Jim McCrery’s professional staff in both the Washington, D.C. and Shreveport, Louisiana offices.
